“User Content” refers to content, written or otherwise, created, uploaded, or submitted by Users and Project Owners.The “Account administrator” refers to the person that manages the Project Owner’s Project owners' account on its behalf.

By creating a Project owners' account, You acknowledge that the Account administrator of your organization has control of and access to your User Content. Furthermore, You (1) agree to comply with your organization’s terms and policies with regards to your use of the Platform; (2) acknowledge your organization’s ability to monitor, restrict or terminate Your or other users’ access to User Content.
The SAMI VIDEO PITCH may provide You with the ability to create, upload and share content in the Platform, including compiling, editing, and/or displaying such content. By uploading User Content, User represents and warrants that he is fully responsible for such content, including its legality, reliability, accuracy and appropriateness.
You agree that you will not under any circumstances upload, host, or transmit any content that:
- is unlawful or promotes unlawful activities;
- is or contains sexually obscene content;
- is libelous, defamatory, or fraudulent;
- is discriminatory or abusive toward any individual or group;
- contains or installs any active malware or exploits, or uses our platform for exploit delivery (such as part of a command-and-control system);
- orinfringes any copyright, trademark, patent, trade secret, or other intellectual property and/or other rights of any third party
If User uploads User Content to a Project Owner's account, User agrees to read the applicable terms and conditions of such Project Owner in order to participate in its virtual pitch events (if applicable).
By creating User Content through our Platform, You retain ownership of such User Content.
By creating and uploading User Content, You grant a license to use your User Content as described below.
- By creating and uploading User Content to a Project Owner’s account, User grants such Project Owner a non-exclusive, royalty-free, worldwide license to access and use your User Content to the extent permitted by the functionality of the Platform (including the rights to reproduce, distribute and display it).
- By creating and uploading User Content through the Platform, You grant SAMI royalty-free, perpetual, irrevocable, worldwide, non-exclusive rights to store, parse, and display such User Content, and make incidental copies as necessary to render the Website and provide the Service. This includes the right to do things like copying it to our database and making backups; parsing it into a search index or otherwise analyzing it on our servers; sharing it with other Users or Project Owners.
- By creating and uploading User Content to the Project Owner’s account, SAMI shall grant such User a royalty-free, revocable, non-transferable, non-exclusive, limited and license to access and use the SAMI VIDEO PITCH to create and upload your video pitches in accordance with these Terms.
All text, images, user or graphic interfaces, trademarks, logos, music, sound, design, photographs and computer code, including but not limited to the design, structure, compilation, combination, expression and arrangement of such Contents on this Website, are owned, controlled by or licensed to SAMI. All content is protected by laws on intellectual property rights and unfair competition. Unless certain Contents are governed by another agreement (e.g., Software License Agreement, Terms of Service etc.), SAMI hereby grants You a limited right to use the Contents under these Terms solely for your personal, non-commercial viewing.
Unless stipulated in the relevant agreement or directly in the Content, the Content shall not be copied, reproduced, distributed, republished, uploaded, displayed, published in any media or transmitted in any form or by any means, including but not limited to electronic, mechanical, photocopying, recording or otherwise, without the prior written permission of SAMI. Furthermore, any Content posted on this Website may not be duplicated without the prior written consent of SAMI.

プロジェクトオーナーによる、プラットフォームへのアクセスは、トライアルとして無料で提供される場合と、有償で提供される場合があります。
サービス提供の条件は、プロジェクトオーナーが SAMI と締結する個別の契約書に明記されます。本サービスの機能の詳細については、ウェブサイトをご覧ください。私達は、常にサービスを変更し、改善しています。当社は、本サービスの機能または特徴を、追加または削除する権利を留保します。

アカウントを作成する場合、プロジェクトオーナーの氏名、パスワード、メールアドレスなど、特定の情報を提供するよう求められます。プロジェクトオーナーの登録内容およびその他の情報は、他者になりすましたもの、プロジェクトオーナーが所有していない有名な商標と同一または混同するほど類似した用語、または何らかの形の攻撃的な用語であってはなりません。プロジェクトオーナーが提供するすべての情報が正確、実際かつ完全であることは、プロジェクトオーナーが本サービスを利用するための条件です。プロジェクトオーナーは、本サービスへの登録または使用のためにプロジェクトオーナーが提供するすべての情報またはその他の情報が当社のプライバシーポリシーに準拠すること、および当社がプロジェクトオーナーの情報に関して取るすべての措置が当社のプライバシーポリシーに一致することに同意するものとします。
プロジェクトオーナーは、自身のパスワードを秘密にし、自身のアカウントを保護することに同意します。プロジェクトオーナーは、自身のアカウントへの不正アクセス、またはその他のセキュリティ侵害があった場合、直ちに当社に通知することに同意します。プロジェクトオーナーは、公共のコンピューターまたは共有コンピューターから自身のアカウントにアクセスする場合、他者がプロジェクトオーナーの個人情報を閲覧または記録することができないよう、特に注意する必要があります。
プロジェクトオーナーは、プロジェクトオーナーアカウントを作成することにより、自身の組織のアカウント管理者が、プロジェクトオーナーのユーザーコンテンツを管理し、これにアクセスすることを認めるものとします。さらに、プロジェクトオーナーは、(1) プラットフォームの使用に関して自身の組織の条件およびポリシーを遵守することに同意し、(2) 自身の組織がプロジェクトオーナーまたは他ユーザーのユーザーコンテンツへのアクセスを監視、制限、終了する能力を有することを認めるものとします。
SAMI VIDEO PITCH は、ユーザーとプロジェクトオーナーに対して、コンテンツを作成、アップロード、および表示する機能 (コンテンツの編集、および/または表示) 提供します。ユーザー及びプロジェクトオーナーは、ユーザーコンテンツをアップロードすることにより、その合法性、信頼性、正確性、適切性を含め、当該コンテンツについてプロジェクトオーナーが全面的に責任を負うことを表明し、保証するものとします。
ユーザー及びプロジェクトオーナーは、いかなる状況においても、以下のようなコンテンツをアップロード、ホスト、または送信しないことに同意するものとします。
- 違法である、または違法な活動を促進するもの。
- 性的にわいせつな、またはそれを含むコンテンツ。
- 中傷的、名誉毀損的、または詐欺的なコンテンツ。
- 個人またはグループに対する差別的または虐待的なもの。アクティブなマルウェアやエクスプロイトを含むもの、またはインストールするもの。あるいは、エクスプロイト配信（コマンド＆コントロールシステムの一部など）のために当社のプラットフォームを使用するもの。

ユーザー及びプロジェクトオーナーは、当社プラットフォームを通じてユーザーコンテンツを作成することにより、当該ユーザーコンテンツに対する著作権を保持します。
ユーザー及びプロジェクトオーナーは、ユーザーコンテンツを作成し、アップロードすることにより、以下のとおり、ユーザーコンテンツを使用する権利を許諾することとします。
ユーザーは、ユーザーコンテンツを作成し、プロジェクトオーナーのアカウントにアップロードすることにより、当該プロジェクトオーナーに対し、自身のユーザーコンテンツにアクセスし、プラットフォームの機能上許容される範囲で使用する非独占的、かつ世界的な無償ライセンス（複製、配布表示する権利を含む）を許諾するものとします。
ユーザー及びプロジェクトオーナーは、ユーザーコンテンツを作成し、プラットフォームを通じてアップロードすることにより、SAMI に、ユーザーコンテンツを保存、解析、表示し、ウェブサイトのレンダリングおよびサービスの提供に必要な付随的コピーを作成するために、期間の定めのない、取消不能な、世界的かつ非独占的な無償の権利を許諾することになります。これには、当社のデータベースへのコピーやバックアップ、当社サーバーでの検索インデックスへの解析やその他の分析、他者との共有などを行う権利が含まれます。
ユーザーは、プロジェクトオーナーのアカウントにユーザーコンテンツを作成しアップロードすることにより、本利用規約に従って、SAMI VIDEO PITCH上でビデオピッチを作成、アップロードするための取消可能、譲渡不可能、非独占的、限定的な無償ライセンスが付与されます。
すべてのテキスト、画像、ユーザーまたはグラフィックインターフェース、商標、ロゴ、音楽、サウンド、デザイン、写真、コンピューターコード（当サイト上のこれらのコンテンツのデザイン、構造、編集、組み合わせ、表現、配置をなどを含む）は、SAMIが所有、管理、ライセンス供与するものです。すべてのコンテンツは、知的財産権および不正競争防止法に関する法律で保護されています。特定のコンテンツが他の契約（例：ソフトウェアライセンス契約、利用規約など）で規定されている場合を除き、SAMIは、本利用規約に基づき、ユーザー及びプロジェクトオーナーが個人的かつ非商業的な閲覧のためにのみ、コンテンツを使用する限定的な権利を許諾するものとします。

ユーザー及びプロジェクトオーナーは、本プラットフォームを利用するにあたり、以下の行為を行わないことに同意するものとします。
- 他者サイトへのアクセスおよび利用を制限または抑制すること。
- 違法、詐欺、中傷、名誉毀損、人種差別、性別嫌悪、ポルノ情報、無礼、脅迫、罵倒、憎悪、わいせつ、その他好ましくない情報を掲載または送信すること。
- 犯罪行為、民事責任、不正行為、職業上の行為、その他日本国の法律に違反する行為を誘発または助長するような情報を掲載または送信すること。
- 他人になりすましたり、他人を代表したり、他の個人または法人になりすますこと。
- 個人情報を侵害する行為、または他者の個人情報の守秘義務を侵害する行為。
- 当サイトを通じて入手した情報、ソフトウェア、その他の資料を商業目的で報告、公開、送信、複製、配布、または何らかの方法で利用すること（ただし、当該情報、ソフトウェア、その他の資料の提供者が明示的に許可した場合を除きます）。
- 個人、個人事業主または法人が所有する商標権、著作権および特許権などを含む知的財産権または関連する権利を侵害すること。

ユーザー及びプロジェクトオーナーによる本サービスまたはウェブサイトのその他のコンテンツの使用は、ユーザー及びプロジェクトオーナーの単独のリスクと裁量で行われるものとします。ユーザー及びプロジェクトオーナーは、本サービスまたは関連コンテンツに起因する損害賠償請求が、SAMI、その関連会社、またはそれぞれの従業員に対して主張することはできません。
上記に加え、ユーザーは、以下の事項に関し、利益、営業権またはデータの損失、もしくは直接的、間接的または特別な損害について、それがどのように発生しても、SAMI がユーザーまたは第三者に対して責任を負わないことを理解し同意するものとします。
- ユーザーコンテンツの使用、開示、または表示。
- 本サービスの利用、または利用できないこと。
- 本サービスの修正、価格変更、停止または中止。
- ハッキング、パスワードの「マイニング」、その他の違法な手段により、本サービスの一部、コンテンツ、またはプラットフォームに接続されているシステムまたはネットワークへの不正アクセスが行われること
- プラットフォームに関するその他の事項。
